TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS AND CONDITIONS

Manytutors Tuition Agency (“Manytutors”) welcomes you. Manytutors provides its service to you, subject to the following terms and conditions, which may be updated by us from time to time without notice to you. You can review the most updated version of the terms at any time at http://manytutors.com.sg.

2. DESCRIPTION OF SERVICE

Manytutors provides a matching service for tutors and entities who need a tutor, including but not limited to students, tuition centers, schools etc. (they will all be refered to as “Student”). Each request for a tutor will be refered to as an “Assignment”. When you register as a tutor, you open an Account. The coordinators accessing the information in your Account (“Registration Data”) will contact registered tutors through the contact information that tutors have provided in the Account when there are suitable assignments for the individual tutors. Tutors hereby understand that being contacted by the coordinators for a particular assignment does not guarantee the Assignment allocation to the contacted tutor.

Tutors who sign up with Manytutors may also source for Assignments through the assignment forum at http://forum.manytutors.com, which coordinators update some of the available Assignments from time to time.

You also understand and agree that your information may be shared for the purpose of Assignment matching among coordinators from but not limited to Manytutors. You also understand and agree that you will be contacted for Assignments through a variety of communications medium such as personal phone calls, email announcements of available assignments etc. These communications are part of the Manytutors Tutors membership and you will not be able to opt out of receiving them unless you remove your account from the Database.

As each Assignment criteria differ from case to case, you also understand and agree that registering as a tutor in Manytutors does not guarantee assignment allocations nor does it guarantee you being contacted by the coordinators.

3. YOUR REGISTRATION OBLIGATIONS

In consideration of your registration to the Database, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of Singapore or other applicable jurisdiction. You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Tutor registration form and (b) maintain and promptly update your information data to keep it true, accurate, current and complete at all times. If you provide any information that is untrue, inaccurate, not current or incomplete, or Manytutors has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Manytutors has the right to suspend or terminate your account and refuse any and/or all current or future use of the Manytutors service.

4. MANYTUTORS PRIVACY POLICY

Registration Data and certain other information about you are subject to our Privacy Policy. Your Registration Data will be used for the purposes of Assignment matching among the coordinators who have access to the Manytutors Database.

5. MEMBER ACCOUNT, PASSWORD AND SECURITY

Your account user log in is your valid email address and you will be able to choose a password upon completing the registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all information provided under your password or account. You agree to (a) immediately notify Manytutors of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each update session. Manytutors cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.

6. INDEMNITY

You agree to indemnify and hold Manytutors, and its subsidiaries, affiliates, officers, agents, or other partners, and employees, harmless from any claim or demand, including but not limited to reasonable attorneys' fees, made by any third party due to or arising out of your misconduct, inaccurate information from your Registration Data, violation of the Terms and Conditions, or violation of any rights of another.

7. ACCOUNT TERMINATION

You agree that Manytutors may, under certain circumstances and without prior notice, immediately terminate your Manytutors account. Cause for such termination shall include, but not be limited to, (a) breaches or violations of the Terms and conditions or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self account deletions), (d) discontinuance or material modification to the service (or any part thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, (g) you have engaged in fraudulent or illegal activities, and/or (h) nonpayment of any fees owed by you in connection with the Assignments or other issues. Termination of your Manytutors account includes (a) removal of access to all offerings within the service, including but not limited to email notifications of available assignments (b) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and (c) barring further use of the Manytutors service. Further, you agree that all terminations for cause shall be made in Manytutors’ sole discretion and that Manytutors shall not be liable to you or any third-party for any termination of your account.

8. ASSIGNMENT TERMINATION

After you are allocated to an Assignment, you understand and agree that the first lesson of the Assignment is a trial lesson for the student and that if for whatever reason you are rejected as a tutor after the first lesson, no remuneration will be offered by both the Student and Manytutors. Remuneration is offered by the Student only with the commencement of the second lesson.

There are no contracts between the Student and the tutor for an Assignment unless otherwise arranged. You hereby understand and agree that if you break any contractual agreement, you will be liable for all claims and damages indemnified by the contractual parties involved.

Although there are no contracts between the Student and tutor by default, by courtesy, you hereby agree that you will give a minimum of one month’s notice to the Student if you wish to withdraw from the Assignment, failing which your outstanding remuneration will be forfeited.

After you have agreed to take up an Assignment and a commencement date has been arranged between the Student and you, you understand and agree that in the event that you wish to withdraw from the Assignment before the first lesson, you must give ManyTutors a minimum of two days’ notice, failing which you will be liable to pay a penalty charge of S$80.00 to Manytutors.

9. ASSIGNMENT REMUNERATION

As a tuition agency, Manytutors quote the market rate according to the Assignment criteria. Tutors may choose to accept or negotiate the price when they are contacted for the Assignment. Tutors are paid by the Students at the end of every tuition cycle, which is the total number of lessons for 4 weeks, or otherwise arranged between the Student and the tutor. The final agreed rates between the Student and the tutor before the first lesson commences are not subjected to further negotiations for a minimum of 3 months unless initiated by Manytutors.

As commission, Manytutors collect the first half (2 weeks) of the Assignment remuneration either from the Students directly or from the assigned tutors if the tutors have been paid the full payment. You understand and agree that all remuneration of the first half of the first tuition cycle of an Assignment belongs to Manytutors. In the event that an assignment is requested to be terminated prematurely either by the Student or the tutor before the first tuition cycle ends, you are only entitled to remuneration from the second half of the tuition cycle (third week) onwards. You also agree and understand that remuneration of assignments terminated within the first half of the tuition cycle will belong entirely to Manytutors.

Manytutors is not liable to pay any remuneration to the tutor regardless of the event and scenario. Manytutors could, however, collect payment from the Student on the tutor’s behalf. You understand and agree that any remuneration claimed from Manytutors on such an event is liable to a $10.00 administrative charge from the amount payable to you that Manytutors collects from the Student. You also understand and agree that it is your duty and not Manytutors’ to request for outstanding payment from the Students to be collected.

10. MODIFICATIONS TO SERVICE

Manytutors reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the service (or any part thereof) with or without notice. You agree that Manytutors shall not be liable to you or to any third party for any modification, suspension or discontinuance of the service.

11. GENERAL INFORMATION

Entire Agreement. The Terms and Conditions constitute the entire agreement between you and Manytutors and governs your membership as a Manytutors tutor, superseding any prior agreements between you and Manytutors with respect to your membership.

Waiver and Severability of Terms. The failure of Manytutors to exercise or enforce any right or provision of the Terms and Conditions shall not constitute a waiver of such right or provision. If any provision of the Terms and Conditions is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms and Conditions remain in full force and effect.
Statute of Limitations. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of Manytutors’ service or the Terms and Conditions must be filed within one year after such claim or cause of action arose or be forever barred.
